TERMS AND CONDITIONS FOR VENDORS
Welcome to WabaMarketing.com (A unit of Purplematics Tech). These Terms and Conditions ("Agreement") govern the use of WhatsApp, bot, and agent services provided by WabaMarketing.com to vendors ("Vendor", "You", "Your") for servicing their clients. By using our platform and services, you agree to comply with these terms.
1. DEFINITIONS
WabaMarketing.com ("Company"): Refers to the platform facilitating WhatsApp-based automation, bot, and agent solutions.
Vendor ("You"): The entity or individual providing WhatsApp, bot, and agent-based services to their clients using WabaMarketing.com.
End-Client ("Client"): The customers to whom the Vendor provides WhatsApp services.
WhatsApp API ("WABA"): The official WhatsApp Business API services used for business communication.
Bot Services: Automated responses, AI chatbots, and workflow automation via WhatsApp.
Agent Services: Live chat and manual support features provided to clients.
2. VENDOR ELIGIBILITY & REGISTRATION
2.1 You must be legally registered and authorized to provide WhatsApp-based services.
2.2 You agree to provide accurate and up-to-date information during the registration process.
2.3 The Company reserves the right to approve, reject, or terminate vendor access at its discretion.
3. USE OF SERVICES
3.1 Compliance with WhatsApp Policies: You must adhere to WhatsApp’s Business Policy, Commerce Policy, and Acceptable Use Policy.
3.2 Prohibited Activities: Vendors shall not use WabaMarketing.com for:
Sending spam, unsolicited messages, or bulk marketing without opt-in.
Sharing misleading, false, or harmful information.
Violating privacy rights, intellectual property, or applicable laws.
3.3 Consent & Opt-In Requirements: Vendors must obtain explicit user consent before sending messages on WhatsApp.
3.4 Data Privacy & Protection: Vendors shall maintain client confidentiality and ensure compliance with data protection laws such as GDPR and India’s DPDP Act.
4. PAYMENT & PRICING
4.1 Pricing Model: Vendors will be charged as per their selected plan, based on API usage, bot interactions, and agent services.
4.2 Payment Terms: Payments must be made in advance, and failure to pay may result in suspension of services.
4.3 Refunds & Disputes: No refunds will be issued except in cases of service failure due to Company error. Any disputes must be raised within 7 days of billing.
5. SERVICE LEVEL AGREEMENT (SLA)
5.1 Uptime Guarantee: WabaMarketing.com aims to maintain 99.5% uptime. Scheduled maintenance will be communicated in advance.
5.2 Support & Assistance: Vendors will have access to email and chat support for troubleshooting.
5.3 Liability Limitations: The Company is not responsible for WhatsApp API downtime, third-party service failures, or vendor misuse.
6. TERMINATION & SUSPENSION
6.1 The Company reserves the right to suspend or terminate vendor access for:
Violation of WhatsApp policies or legal regulations.
Non-payment beyond the due date.
Complaints from clients regarding misuse or spam.
6.2 Vendors may terminate their contract with 30 days' written notice. No refunds will be provided for early termination.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 All trademarks, logos, and software used by WabaMarketing.com remain the property of the Company.
7.2 Vendors may not modify, distribute, or resell the platform without explicit authorization.
8. INDEMNIFICATION & LIABILITY
8.1 Vendors agree to indemnify and hold WabaMarketing.com harmless from claims, damages, or legal disputes arising due to their misuse of WhatsApp services.
8.2 The Company’s total liability is limited to the amount paid by the Vendor in the last 3 months.
9. GOVERNING LAW & DISPUTE RESOLUTION
9.1 This Agreement shall be governed by the laws of Tamil Nadu, India.
9.2 Disputes will be resolved through arbitration in [City], as per applicable arbitration laws.
10. CHANGES TO TERMS
10.1 The Company reserves the right to update these Terms. Vendors will be notified of significant changes, and continued use constitutes acceptance.
By signing up as a Vendor, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
